Terms and Conditions of The Nanny Payroll Service

1. The Nanny Payroll Service Limited, whose registered office is at The Studio, Benefield Road, Brigstock, Kettering. NN14 3ES ("the Company") shall provide the Customer with The Nanny Payroll Service as outlined in this document and more fully defined by specifications laid down by the Company from time to time ("the Services").
2. The Services shall include inter alia the provision of all details required to enable employees of the Customer to be paid correctly in accordance with regulations laid down from time to time by the Inland Revenue and Contributions Agency ("the Agencies"), including details of all liabilities to the Agencies for Tax and other charges due on payments made to employees.
3. The Company agrees that save insofar as may be necessary for the purpose of the performance of this Agreement or as may be required by statutory requirements or orders all information or data passed by the Customer to the Company and any confidential results arising therefrom will be treated as such and will not be divulged to any third party without the prior written consent of the Customer.
4. Delivery of all data necessary for the provision of the Services shall be the responsibility of the Customer and at the cost of the Customer. The company shall be responsible for the delivery of the results of the Services to the Customer.
5. Patent, copyright and all intellectual property rights in all computer programs written by the Company or its agents will be vested in the Company.
6. Any requests by the Customer for alterations to the Services or any acceptance of such alterations by the Company shall be made in writing, and the Company reserves the right to revise the scale of charges occasioned by any extra work involved through any such request as aforesaid. The Company reserves the right to revise the scale of charges should any alteration in the Services become necessary due to Government order or others statutory instruction.
7. The scale of charges agreed with the Customer shall include Value Added Tax in accordance with English Law and such scale of charges will not be increased for a minimum period of one year from the commencement of this Agreement.
8. All charges payable by the Customer for the Services, including Value Added Tax or any other taxes payable by Government order shall be payable in advance or, by agreement with the Company by quarterly standing order or direct debit. Failure to make such payments may lead to immediate withdrawal of the Services without notice.
9. The Company shall not be liable to the Customer for failure or delay in performance of its obligations hereunder for any reason beyond the control of the Company.
10. The Services shall be provided for one year certain and thereafter from year to year until termination by either party by one month's written notice to expire at any time.
11. This Agreement shall be governed in accordance with the laws of England.
